These Terms apply to the overseas warehouse system, Amazon SP-API order-coordination, fulfillment-integration, and data-governance support services that HCY Tech provides to customers. If the parties sign a separate written contract, that contract and its order documents prevail.
1. Service scope
Services may include public-page updates, multilingual page delivery, privacy/terms/DPA drafting, Amazon SP-API integration explanations, warehouse-workflow planning, and implementation support. Final scope is defined by quotation, statement of work, or contract.
2. Independent provider notice
HCY Tech is an independent provider and is not an agent, representative, or affiliate of Amazon or Amazon Marketplace. Platform approval, account activation, scope approval, and merchant status are controlled by the platform and cannot be guaranteed by us.
3. Customer responsibilities
- Provide accurate, complete, and lawful business information, materials, and authorization details;
- Ensure a lawful basis exists for the content, goods, account use, and personal-data processing involved in the project;
- Promptly communicate platform feedback, changes, or restrictions that affect the work;
- Protect account credentials, tokens, keys, and internal access rights.
4. Platform and third-party rules
The customer remains responsible for complying with Amazon Marketplace rules, logistics-provider terms, payment requirements, cloud-service terms, and applicable laws. Our work product does not constitute legal advice and does not replace official platform guidance.
5. Fees and payment
Fees are governed by the applicable quote or contract. Milestone-based work may be invoiced upon delivery of each agreed stage. Late payment may delay subsequent work.
6. Intellectual property
The customer retains ownership of its trademarks, product materials, business data, and other provided assets. HCY Tech retains ownership of pre-existing tools, methods, templates, and know-how. Rights to custom deliverables are governed by the applicable contract after payment.
7. Data and confidentiality
Each party must protect confidential information disclosed during the project. We handle customer data in accordance with our Privacy Policy and DPA and do not sell or repurpose that data for unrelated marketing.
8. Changes and acceptance
If the customer requests material scope expansion, additional languages, deeper system work, or major rewrite cycles, the parties may revise timing and fees. Deliverables move to the next stage if no feedback is provided within the agreed review window.
9. Disclaimer
We use reasonable efforts to produce accurate and clear materials, but we do not guarantee platform approval, uninterrupted third-party availability, or outcomes dependent on customer-provided information, policy changes, or force majeure events.
10. Limitation of liability
To the maximum extent permitted by law, HCY Tech is not liable for indirect, consequential, special, or lost-profit damages. Our aggregate liability is generally limited to the fees paid for the disputed service scope, unless mandatory law requires otherwise.
11. Termination
Either party may terminate for material breach not cured within a reasonable period. After termination, fees accrued remain payable and the parties should coordinate any return, export, or deletion of project data.
12. Public documentation consistency
If the customer uses this website or related documentation for partner onboarding, API application, or external business introductions, the submission package, demo flow, public pages, and real business capability should remain consistent. HCY Tech may support public documentation and explanatory materials, but does not guarantee third-party approval outcomes.
13. Minimum necessary access and compliant use
If a project involves platform APIs or authorization features, the customer should request only the permissions and data needed for the actual workflow and use such data in accordance with applicable platform policies, law, and contract. HCY Tech may refuse to support misleading, overbroad, or unlawful data-processing arrangements.
14. Language and interpretation
